Terms of Service

These Terms form a binding agreement between you and Brandon Shepherd Insurance Agency Inc., the legal operator of AgentPay, when you create an account, subscribe, upload information, or use the service.

Agreement and eligibility

AgentPay is a professional software service for adults. You must be at least 18 years old and legally able to enter a contract. By creating an account, subscribing, uploading a file, or using AgentPay, you agree to these Terms and acknowledge the Privacy Policy and Refund Policy.

AgentPay is not an insurance carrier, employer, payroll provider, accounting firm, or financial adviser.

Service and contract support

AgentPay helps insurance agents review their own compensation information and create business-planning estimates. The service may extract information from uploaded compensation statements, present it for review, and use it with customer-entered information to create forecasts, scenarios, and planning outputs.

AA05

AgentPay currently supports eligible AA05 compensation statements, including the RIZPB004 Agent Compensation Statement / Agent Online Recap format described in the Upload Guide.

AA28 — Coming Soon

AA28 support is planned but is not currently available. Coming Soon does not promise a release date, feature set, eligibility, or continued development, and customers should not subscribe based on an assumed AA28 launch date.

Forecasts are estimates

Every AgentPay forecast, scenario, range, classification, and planner output is an estimate for informational business planning. It is not a guarantee of compensation, commission, profitability, cash flow, or any carrier decision.

Results depend on the statements and inputs available, customer corrections, timing assumptions, supported statement formats, and calculation rules. They may be incomplete, delayed, or wrong. Always compare AgentPay information with official statements and records before making a business decision.

AgentPay does not provide legal, tax, accounting, investment, employment, payroll, or financial-advisory services.

Subscription pricing

$20 Founding Agent price

Founding Agent is $20 per month for the first 1,000 customers whose initial subscription payment succeeds. A checkout attempt or temporary reservation does not by itself secure the price. The $20 monthly price remains available while that subscription stays continuously active.

$29 standard price

The standard AgentPay subscription price after the first 1,000 successfully paid Founding Agent subscriptions is $29 per month. The exact applicable price is displayed before payment.

Monthly recurring billing; no free trial

AgentPay has no free trial. When you subscribe, you authorize the displayed charge when checkout is completed and recurring monthly charges until you cancel. Taxes or other charges required by law may apply. Separately priced future products or premium modules are not included unless expressly stated.

Cancellation and price protection

You may cancel online at any time. Cancellation stops future renewals and normally takes effect at the end of the current paid billing period, so access continues through that period unless access must end sooner for security, misuse, legal requirements, or another reason allowed by these Terms.

Continuous-subscription price protection applies only while the same Founding Agent subscription remains continuously active. If a Founding Agent subscription is canceled or otherwise ends, a later subscription is offered at the then-current standard price; the former $20 price and Founding Agent position do not return.

Canceling does not automatically delete your account, uploaded statements, or other saved information. See the Privacy Policy for deletion choices and retention limits.

Processing queue expectations

Uploaded statements may enter a processing queue. Queue position, statement quality, file size, service demand, provider availability, retries, and secure review needs can affect completion time. AgentPay does not guarantee that a statement will finish within a specific number of minutes or hours.

A queued or processing status does not mean a statement has been fully extracted, approved, or added to historical forecasting. Processing may continue after you leave the page. Return to statement history to check status, respond to a review request, or retry when the service offers that option. Avoid submitting duplicate copies while an upload is still processing.

AgentPay may temporarily pause or limit uploads, queue intake, or processing to protect customer information, accuracy, reliability, or service capacity.

Preliminary information

AgentPay may show a preliminary, low-confidence forecast before uploaded statements finish processing. A preliminary forecast uses the agency information you entered and does not claim to use historical statement trends that have not yet been processed and approved.

Preliminary results may change materially when statement history becomes available, inputs change, or extracted information is corrected. They remain estimates subject to the forecast disclaimer above.

Your account and uploads

You must provide accurate account information, keep your credentials confidential, use your own account, and promptly report suspected unauthorized access. You are responsible for activity under your account except to the extent caused by AgentPay's failure to use reasonable safeguards.

You represent that you have the lawful right and a legitimate business need to upload every file and data item you submit. Upload only your own authorized compensation statements. Do not upload unrelated sensitive personal information or information belonging to customers, employees, or other third parties unless AgentPay specifically requests it and you have lawful authority to provide it.

Acceptable use

You may not:

  • attempt unauthorized access to an account, statement, system, or private data;
  • interfere with AgentPay, upload malicious code, test security without permission, or evade subscription or usage controls;
  • scrape or bulk-extract the service, resell access, impersonate another person, or use an automated process that burdens the service;
  • submit false, unlawful, infringing, or unauthorized information; or
  • reverse engineer the service except where applicable law expressly prohibits that restriction.

AgentPay may suspend or limit access when reasonably necessary to investigate misuse, protect users or the service, address a legal or security issue, or maintain reliable operation.

Ownership and service license

You retain ownership of information you submit. You grant AgentPay a limited license to host, copy, transform, and process that information only as needed to provide, secure, support, and improve the service as described in the Privacy Policy.

AgentPay and its licensors retain all rights in the service, software, models, calculations, design, and documentation. These Terms do not transfer ownership of AgentPay technology to you.

Refunds, availability, and disclaimers

AgentPay provides digital software access and incurs statement processing costs. Payments are generally non-refundable after service access or processing begins, subject to applicable law and the exceptions in the Refund Policy.

To the extent permitted by law, AgentPay is provided "as is" and "as available." AgentPay does not warrant uninterrupted operation, compatibility with every statement, error-free extraction, or forecast accuracy.

To the extent permitted by law, AgentPay and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or business opportunities arising from the service. Total liability for claims relating to AgentPay will not exceed the amounts paid for AgentPay during the six months before the event giving rise to the claim. This does not limit liability that cannot lawfully be limited.

Changes, general terms, and contact

AgentPay may update these Terms prospectively. Material changes will receive notice through the service or by email when required by law. A price change or other change requiring fresh consent will not take effect without the notice and consent required by applicable law.

If a provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law. Failure to enforce a provision is not a waiver. Applicable law and courts with proper jurisdiction govern disputes; these Terms do not require arbitration or waive a class-action right.
